Membership Agreement

EVOQUE ENTERTAINMENT HUB TALENT MANAGEMENT AGREEMENT
This Talent Management Agreement (the "Agreement") is made and entered into as of the date of acceptance by the Performer (the "Effective Date") by and between:
EVOQUE ENTERTAINMENT HUB, a company registered in New Zealand ("Evoque" or the "Agency"), and
[Performer’s Full Name], residing at [Performer’s Address], (the "Performer").
1.
DEFINITIONS
1.1 Agency – Evoque Entertainment Hub, its representatives, employees, and affiliates. 1.2 Performer – The individual entering this Agreement for representation. 1.3 Member – A Performer who has successfully passed an audition process or received an invitation to join Evoque. 1.4 Exclusive Representation – The Performer agrees Evoque will be their sole representative for all opportunities within entertainment sectors covered by the Agency. 1.5 Commission – The percentage of the Performer’s earnings payable to Evoque for jobs secured while under representation. 1.6 Client – Any third party that books the Performer through Evoque.
2.
TERM & TERMINATION
2.1 This Agreement is open-ended and shall remain in effect until terminated by either party. 2.2 Either party may terminate this Agreement with 30 days’ written notice. 2.3 Evoque reserves the right to terminate this Agreement immediately if the Performer breaches any terms outlined herein, including unprofessional conduct, failure to meet contractual obligations, or failure to report independent work. 2.4 Any commissions owed to Evoque for work booked prior to termination remain payable under this Agreement.
3.
REPRESENTATION & MEMBERSHIP
3.1 The Performer acknowledges that membership in The Hub is by invitation, audition, or approval by Evoque. 3.2 Membership is free, but subject to Evoque’s discretion based on talent, professionalism, and suitability. 3.3 Members will have access to The Hub’s online portal, including casting calls, industry resources, and 24/7 support. 3.4 Evoque will act as the Performer’s exclusive agent for all work within the covered entertainment industries, including cruise entertainment, live performance, and hospitality entertainment.
4.
COMMISSION & PAYMENTS
4.1 Evoque shall receive a 10% commission on all work secured while the Performer is under this Agreement. 4.2 Commission applies to all work, including independently sourced work, unless explicitly exempted by Evoque. 4.3 Payment Handling: a) In some cases, Evoque will receive the full fee from the Client, deduct the 10% commission, and transfer the balance to the Performer. b) If the Performer is paid directly, they must transfer the commission to Evoque within 7 days of receiving payment. 4.4 Late payments may incur a penalty fee of 5% per month if not received within 30 days.
5.
PERFORMER’S RESPONSIBILITIES
5.1 The Performer must maintain professional standards at all times, including punctuality, appropriate conduct, and preparedness. 5.2 The Performer must keep Evoque informed of all work offers, availability, and schedule changes. 5.3 The Performer agrees to provide high-quality promotional materials (headshots, videos, and resumes) and keep them updated. 5.4 The Performer shall not accept direct bookings from Evoque Clients unless authorized. 5.5 The Performer is responsible for obtaining insurance, visas, and tax obligations for all employment.
6.
EVOQUE’S RESPONSIBILITIES
6.1 Evoque will actively seek opportunities for the Performer and negotiate contracts on their behalf. 6.2 Evoque will provide career guidance, coaching, and industry resources. 6.3 Evoque will offer ongoing support, even when the Performer is on a job, including handling disputes and contract negotiations. 6.4 Evoque reserves the right to use the Performer’s images and videos for promotional purposes. Written consent will be obtained before third-party advertising.
7.
CASTINGS & BOOKINGS
7.1 All audition opportunities will be shared via The Hub. 7.2 Partners may submit casting calls through Evoque, and Performers will be notified accordingly. 7.3 If a Performer applies for an external job that Evoque facilitated, the Performer must inform Evoque immediately.
8.
LIABILITY & INDEMNITY
8.1 Evoque is not liable for lost income, cancellations, or disputes between the Performer and Clients. 8.2 The Performer agrees to indemnify and hold Evoque harmless from any claims or damages arising from work engagements. 8.3 Evoque is not responsible for injury, theft, or loss during employment.
9.
CONFIDENTIALITY & DATA PROTECTION
9.1 The Performer’s details will be kept confidential and shared only with official Evoque partners for casting purposes. 9.2 Evoque will store and process data in compliance with New Zealand privacy laws.
10.
DISPUTE RESOLUTION
10.1 Any disputes shall first be addressed through mediation between the Performer and Evoque. 10.2 If mediation fails, disputes will be settled in accordance with New Zealand law.
11.
ENTIRE AGREEMENT
11.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. 11.2 Any amendments must be agreed upon in writing.
